AI Terms

Suzy provides a cloud-based product that uses artificial intelligence (AI) to improve the user experience, optimize performance, and deliver services. These AI Product Terms (“AI Terms”) supplement your existing agreement with Suzy, Inc. (“Agreement”) and apply to your use of AI-powered products and tools within Suzy’s Platform and Services (“AI Products”).

1. Data Processing and Use

Our product uses AI to process and analyze data, including personal data provided by your authorized users, as well as Suzy’s respondent community (“Members” and “Respondents”) as instructed by you. By using our AI Products, you agree to the processing of authorized user personal data in accordance with our Privacy Policy, which is incorporated into these AI Terms by reference. You further agree to the processing of Member and Respondent personal data in accordance with our Data Processing Addendum (“Suzy DPA”) or the applicable data processing agreement in place between you and Suzy.

2. Legal notice

You are responsible for any and all text, images, data or other content you upload to the AI Products (“Input”) as well as the resulting material you generate, such as images or text (“Output”). You are responsible for ensuring that your Input and Output complies with these terms and the Agreement before using or sharing it. You agree that you will not include any Sensitive Personal Data (as defined in our Privacy Policy) in any Input to AI Products unless you have explicit consent from the data subject in accordance with applicable laws.

3. Ownership and License

We own all intellectual property rights in our products, including any AI algorithms used to provide our services. Your Agreement contains a license grant for access to and use of our proprietary software platform (“Platform”). The definition of the Platform is hereby amended to expressly include these new AI Product features. As between you and Suzy, to the extent permitted by law, you retain all right, title and interest in and to Input and Output. You grant Suzy the right to (i) host and process your Input and Output on our Platform and (ii) use it to market and improve our products and services. Nothing in these Terms shall constitute an assignment of your rights in the Input and Output or grant Suzy any right, title or interest in and to the Input and Output. Suzy will not contest your ownership of such rights, challenge the validity of such rights, or take any action in derogation of such rights.

You agree that any Input or Output processed by artificial intelligence such as the AI Products, including personal data, cannot be deleted and grant us a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, copy, modify, and distribute such Input and Output for the purpose of (i) providing the Services as defined in your Agreement and (ii)  improving our Platform and service offerings.

4. Disclaimer, Liability and Indemnification

The Output of AI Products is generated by artificial intelligence at your direction. Suzy has not verified the accuracy of the Output and it does not represent Suzy’s views. Suzy makes no warranty or guarantee as to the accuracy, completeness, or reliability of Output and does not accept any liability or responsibility arising in any way from your use of the Output or any omissions or errors contained in the Output. To the full extent permitted by law, we disclaim all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of AI Products.

5. Prohibited Uses

Please be a good human when using AI Products and don’t use them to create any harmful content. You may not use the AI Products for any unlawful or unauthorized purpose. Any use of the AI Products that violates these AI Terms or the Agreement is prohibited, and we reserve the right to suspend or terminate your account if we find that you are using it in violation of these terms. In the event that any of your Input or Output is alleged to be unlawful or otherwise in breach of these terms, you acknowledge that Suzy may disclose such content to law enforcement or other governmental authorities, or in response to a court order.

Prohibited uses of the AI Products, include but are not limited to:

  • Leading anyone to believe that content generated by AI Products is human-generated;
  • Providing medical advice or any content regarding the treatment, prevention, diagnosis or transmission of diseases;
  • Providing legal or financial advice;
  • Generating contracts or legally binding obligations;
  • Generating political content including for dissemination in electoral campaigns;
  • Generating source code;
  • Generating spam, ransomware, keyloggers, viruses or other software;
  • Generating content that is obscene, pornographic, lewd, lascivious, or excessively violent;
  • Generating or disseminating information to be used for the administration of justice or other legal purposes;
  • Implementing fully-automated decision making processes.

6. Sharing & publication

You may use your Input and Output for any legal purpose, provided that you comply with these AI Terms and that you accept that any such use is at your own risk. Sharing your Input and Output is generally permissible, as long as you:

  • Manually review each Output before sharing;
  • Indicate that the content is AI-generated in a way no user could reasonably miss or misunderstand;
  • Do not share content that violates these AI Terms or data protection laws; and
  • Refrain from sharing Outputs that may offend others.

7. Technology partners

Suzy uses technology provided by third party service providers to provide some of our AI Products. You acknowledge that any Input you provide, including any personal data or confidential data you choose to include within that Input, will be shared with third party service providers listed in our Subprocessor List in order to provide you with the service and they may also use such Input to improve their services. You consent to any such Input being transferred to these Subprocessors, which depending on where you reside, may not provide the same level of protection for your personal data or confidential data.

8. Modification

Suzy reserves the right to update or modify these AI Terms at any time, effective upon posting of an updated version of these AI Terms through Suzy’s website. You should regularly review these AI Terms, as your continued use of the Services after any such changes constitutes your agreement to such changes. If Suzy makes any material changes to these AI Terms, we will notify you of these material changes either through the Platform or via email at the address you have provided us. Your continued use of the Platform and lack of objection ten (10) days after such changes take place indicates your acceptance of the changes.

9. No further amendment

All terms and conditions in the Agreement save as amended herein remain in full force and effect and are binding upon the Parties.
